Terms of Service
These Terms of Service ("Terms") govern your access to and use of Zentiya's retail management platform, website, mobile applications, and related services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.
Important Notice
These Terms include an arbitration clause and class action waiver that affect your legal rights. Please review Section 16 (Dispute Resolution) carefully.

1. Agreement & Acceptance
These Terms constitute a legally binding agreement between you (either an individual or an entity, "you" or "Customer") and Zentiya by LTK Soft Pvt Ltd ("Zentiya," "we," "us," or "our").
1.1 Acceptance of Terms
By accessing or using our Services, you represent and warrant that:
- You have read, understood, and agree to be bound by these Terms
- You are at least 18 years old and have legal capacity to enter into contracts
- If representing an organization, you have authority to bind that organization
- You comply with all applicable laws and regulations in your jurisdiction
- All registration information you submit is accurate and current
1.2 Modifications to Terms
We may modify these Terms at any time. Material changes will be notified via email or prominent notice on our platform at least 30 days before they become effective. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.
Separate Agreements: If you have a separately negotiated written agreement with Zentiya (such as an Enterprise Agreement), the terms of that agreement will prevail over these Terms to the extent of any conflict.

3. Account Registration
3.1 Account Creation
To use the Services, you must create an Account by providing:
- Valid email address
- Business name and address
- Contact information
- Payment method (for paid plans)
- Any other information reasonably requested
3.2 Account Security
Your Responsibilities:
- Maintain the confidentiality of your login credentials
- Use strong passwords and enable two-factor authentication
- Notify us immediately of any unauthorized access
- Ensure all Users comply with these Terms
- Be responsible for all activities under your Account
Important: You are fully responsible for all activities that occur under your Account, even if performed by unauthorized third parties. We are not liable for any loss or damage arising from unauthorized access.
3.3 Account Information
You agree to provide accurate, current, and complete information during registration and to update such information to maintain its accuracy. We reserve the right to suspend or terminate your Account if any information is found to be inaccurate, false, or misleading.
3.4 One Account Per Business
You may only create one Account per business entity unless you have our prior written consent. Creating multiple accounts to circumvent pricing, usage limits, or restrictions is strictly prohibited.
4. Subscription & Payment Terms
4.1 Subscription Plans
We offer multiple subscription tiers (Starter, Professional, Enterprise) with different features, limits, and pricing. Current plans and pricing are available at zentiya.com/pricing.
We reserve the right to modify pricing, features, and plan structure with 30 days' notice. Existing customers will be grandfathered at current pricing for the remainder of their billing cycle.
4.2 Free Trial
We offer a 14-day free trial for new customers. During the trial:
- No credit card required to start
- Full access to Professional plan features
- Can be canceled anytime without charge
- One trial per business (IP and email address tracked)
4.3 Billing & Payment
Billing Cycle:
Subscriptions are billed monthly or annually in advance. Annual subscriptions receive a discount as published on our pricing page.
Payment Methods:
We accept major credit cards (Visa, Mastercard, American Express) and bank transfers (for Enterprise plans). All payments are processed securely through our payment partners using industry-standard encryption.
Automatic Renewal:
Your subscription automatically renews at the end of each billing cycle unless you cancel before the renewal date. You authorize us to charge your payment method for renewal fees.
Failed Payments:
If payment fails, we will attempt to re-charge your payment method up to 3 times over 10 days. If payment remains unsuccessful, we may suspend or terminate your Account.
4.4 Taxes
All fees are exclusive of applicable taxes (including VAT, GST, sales tax, etc.). You are responsible for paying all taxes associated with your use of the Services. We will add applicable taxes to your invoice based on your billing address.
4.5 Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing cycle. You will retain access to all features until the end of the billing period.
For billing errors or incorrect charges, please contact our support team for resolution.
4.6 Upgrades & Downgrades
Upgrades: Take effect immediately. You will be charged a pro-rated amount for the remainder of your billing cycle.
Downgrades: Take effect at the end of your current billing cycle. You retain access to current plan features until then. No refunds for unused time.
5. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy.
5.1 Permitted Use
You may use the Services to:
- Manage your legitimate retail business operations
- Process customer transactions and manage inventory
- Store and analyze business data
- Generate reports and insights
- Integrate with approved third-party services
- Access via authorized Users within your organization
5.2 Usage Limits
Your subscription includes specific limits on:
- Number of store locations
- Number of User accounts
- Number of products/SKUs
- API request rates
- Data storage capacity
- Transaction volume per month
Exceeding usage limits may result in additional charges, service throttling, or requirement to upgrade your plan. We will notify you when approaching limits.
5.3 Acceptable Use Policy
Our detailed Acceptable Use Policy is incorporated into these Terms by reference. It outlines additional rules and restrictions on your use of the Services.
6. Prohibited Activities
Strictly Prohibited
The following activities are strictly prohibited and may result in immediate account termination without refund:
Illegal Activities
- ✗Illegal products or services
- ✗Money laundering
- ✗Fraud or deceptive practices
- ✗Counterfeit goods
Security Violations
- ✗Hacking or penetration testing
- ✗Malware distribution
- ✗Unauthorized access attempts
- ✗Security vulnerability exploitation
Service Abuse
- ✗Excessive API calls
- ✗Attempting to bypass usage limits
- ✗Creating multiple accounts
- ✗Reselling without authorization
Harmful Content
- ✗Adult content
- ✗Weapons or explosives
- ✗Drugs or controlled substances
- ✗Hate speech or harassment
6.1 Intellectual Property Violations
You may not:
- Reverse engineer, decompile, or disassemble the Services
- Remove or modify any proprietary notices
- Copy, modify, or create derivative works of the Services
- Use the Services to infringe third-party intellectual property rights
6.2 Data Scraping & Automation
You may not use bots, scrapers, or automated tools to access the Services except through our official API with proper authentication. Excessive automation or data extraction is prohibited.
7. Intellectual Property Rights
7.1 Zentiya's Intellectual Property
The Services, including all software, designs, text, graphics, logos, interfaces, code, and documentation, are owned by Zentiya and protected by copyright, trademark, patent, and other intellectual property laws.
License Grant: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes.
7.2 Your Intellectual Property
You retain all ownership rights to your Customer Data, trademarks, logos, and other intellectual property that you provide to the Services.
License to Us: You grant Zentiya a worldwide, non-exclusive license to use, store, process, and display your Customer Data solely to provide the Services to you.
7.3 Feedback & Suggestions
If you provide feedback, suggestions, or ideas about the Services ("Feedback"), you grant Zentiya a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our products and services without any obligation to you.
7.4 Trademark Usage
"Zentiya" and our logos are trademarks of Zentiya by LTK Soft Pvt Ltd. You may not use our trademarks without our prior written consent, except as necessary to identify yourself as a Zentiya customer.
8. Your Data & Privacy
8.1 Data Ownership
You own your data. All Customer Data you upload to the Services remains your property. We do not claim any ownership rights to your Customer Data.
8.2 Data Processing
We process your Customer Data as a data processor on your behalf to provide the Services. You are the data controller and responsible for:
- Obtaining necessary consents from your customers
- Complying with applicable data protection laws (GDPR, CCPA, etc.)
- Providing privacy notices to your customers
- Handling data subject requests from your customers
- Ensuring data accuracy and lawful processing
8.3 Data Security
We implement industry-standard security measures to protect your data, including:
- Encryption at rest (AES-256)
- Encryption in transit (TLS 1.3)
- Regular security audits
- Access controls and authentication
- 24/7 monitoring

8.4 Data Portability & Deletion
Export Your Data: You can export your Customer Data at any time in CSV, JSON, or other standard formats through the Services.
Delete Your Data: Upon account termination, we will delete your Customer Data within 30 days, except where we must retain it for legal, accounting, or regulatory purposes.
8.5 Privacy Policy
Our Privacy Policy explains how we collect, use, and protect personal information. By using the Services, you also agree to our Privacy Policy.

9.1 Your Warranties
You represent and warrant that:
- You have the right to use and provide all Customer Data to the Services
- Your use of the Services complies with all applicable laws
- You will not use the Services for any illegal or prohibited purposes
- Your Customer Data does not infringe any third-party rights
- All information you provide is accurate and current
9.2 Service Disclaimer
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZENTIYA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Title
- Accuracy, completeness, or reliability of content
- Uninterrupted or error-free operation
- That defects will be corrected
9.3 Third-Party Services
The Services may integrate with or contain links to third-party services. We do not control and are not responsible for third-party services, content, or privacy practices. Your use of third-party services is at your own risk.
9.4 Service Level Agreement
We strive for 99.9% uptime. Professional and Enterprise plans include an SLA with service credits for downtime.
10. Limitation of Liability
Important Legal Notice
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
10.1 Exclusion of Certain Damages
ZENTIYA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or business opportunities
- Loss of data or information
- Business interruption
- Loss of goodwill or reputation
- Cost of substitute services
10.2 Cap on Liability
ZENTIYA'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF:
- The amount you paid to Zentiya in the 12 months preceding the claim, or
- $100 USD
Note: Some jurisdictions do not allow limitation of liability for certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
10.3 Exceptions
The limitations in this section do not apply to:
- Your payment obligations
- Your indemnification obligations
- Your breach of Section 6 (Prohibited Activities)
- Your violation of intellectual property rights
- Liability that cannot be excluded by law (such as fraud)
11. Indemnification
You agree to indemnify, defend, and hold harmless Zentiya, its affiliates, and their respective officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from or related to:
- •Your use or misuse of the Services
- •Your Customer Data
- •Your violation of these Terms
- •Your violation of any laws or regulations
- •Your violation of any third-party rights
- •Your business operations and customer relationships
- •Any actions by Users under your Account
We reserve the right to assume exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense of such claim.
12. Termination
12.1 Termination by You
You may cancel your subscription at any time through your Account settings or by contacting support. Cancellation takes effect at the end of your current billing cycle.
- No cancellation fees
- Access continues until end of billing period
- No refunds for unused time
- Export your data before cancellation
12.2 Termination by Zentiya
We may suspend or terminate your Account immediately without notice if:
- You breach these Terms or our policies
- You engage in prohibited activities
- Your account poses a security risk
- You fail to pay fees when due
- We are required to do so by law
- We discontinue the Services (with 90 days' notice)
12.3 Effect of Termination
Upon termination:
- Your access to the Services will cease immediately (except during notice period)
- You must pay all outstanding fees
- We will delete your Customer Data within 30 days (unless legally required to retain)
- Sections that by their nature should survive will continue to apply
Survival: The following sections survive termination: Payment Obligations, Intellectual Property, Warranties & Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and General Provisions.
13. Service Modifications
13.1 Changes to Services
We continuously improve and update the Services. We reserve the right to:
- Add, modify, or remove features at any time
- Update user interfaces and designs
- Change APIs (with reasonable notice for breaking changes)
- Modify service limits and quotas
- Perform maintenance and updates
13.2 Feature Deprecation
If we discontinue a major feature:
- We will provide at least 90 days' advance notice
- We will offer alternative solutions where possible
- We will assist with migration to alternative features
- For Enterprise customers, we will work with you on a transition plan
13.3 Scheduled Maintenance
We perform scheduled maintenance during low-traffic periods. We will notify you of planned maintenance at least 48 hours in advance through email or in-app notifications. Emergency maintenance may be performed without advance notice.
13.4 Service Discontinuation
If we decide to discontinue the Services entirely, we will provide at least 6 months' notice and will assist you with data export. Access to the service will continue until the end of your current billing period.
14. Third-Party Services & Integrations
14.1 Third-Party Integrations
The Services may integrate with third-party services such as:
- •Payment processors (Stripe, PayPal)
- •Accounting software (QuickBooks, Xero)
- •E-commerce platforms (Shopify, WooCommerce)
- •Shipping providers (FedEx, UPS)
- •Email marketing (Mailchimp, SendGrid)
- •Social media platforms
These integrations are subject to the third party's terms of service and privacy policies. We are not responsible for third-party services.
14.2 Third-Party Links
The Services may contain links to third-party websites or resources. We provide these links for convenience only and do not endorse, control, or assume responsibility for any third-party content, products, or services.
14.3 Third-Party Apps & Plugins
You may install third-party apps or plugins developed by others to extend the Services. You acknowledge that:
- Third-party apps are not developed or controlled by Zentiya
- We do not guarantee the quality, security, or reliability of third-party apps
- You use third-party apps at your own risk
- Third-party apps may access your Customer Data as authorized by you
- We may remove or disable third-party apps that violate our policies
Disclaimer: ZENTIYA MAKES NO WARRANTIES REGARDING THIRD-PARTY SERVICES AND DISCLAIMS ALL LIABILITY FOR ANY DAMAGES ARISING FROM YOUR USE OF THIRD-PARTY SERVICES.
15. General Provisions
15.1 Governing Law
These Terms are governed by the laws of the State of Karnataka, India, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of courts located in Bangalore, Karnataka, India.
15.2 Entire Agreement
These Terms, together with our Privacy Policy, Acceptable Use Policy, and any other policies incorporated by reference, constitute the entire agreement between you and Zentiya regarding the Services and supersede all prior agreements and understandings.
15.3 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.
15.4 Waiver
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision.
15.5 Assignment
You may not assign or transfer these Terms or your Account without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section is void.
15.6 Force Majeure
Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, pandemics, government actions, internet failures, or telecommunications outages.
16. Dispute Resolution
Important Arbitration Notice
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.
16.1 Informal Resolution
Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@zentiya.com. We will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 60 days of submission, you or Zentiya may bring a formal proceeding.

16.2 Binding Arbitration
Agreement to Arbitrate: You and Zentiya agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be settled by binding arbitration, rather than in court, except as set forth below.
Arbitration Rules:
The arbitration will be conducted by the Indian Council of Arbitration (ICA) under its Arbitration Rules. The arbitration will be held in Bangalore, Karnataka, India, or another mutually agreed location.
Arbitration Costs:
Each party will bear its own costs of arbitration, including attorney fees, unless the arbitrator awards costs to the prevailing party. Zentiya will pay your filing fees if you cannot afford them.
Exceptions to Arbitration:
Either party may bring a lawsuit in court for:
- Intellectual property infringement claims
- Claims seeking injunctive relief
- Small claims court matters (if eligibility requirements are met)
16.3 Class Action Waiver
YOU AND ZENTIYA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Unless both you and Zentiya agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
16.4 Opt-Out of Arbitration
You may opt out of the arbitration agreement by sending written notice to legal@zentiya.com within 30 days of first accepting these Terms. The notice must include:
- Your name and email address
- Your account ID
- A clear statement that you wish to opt out of arbitration
If you opt out, you and Zentiya will resolve disputes in court, subject to the governing law and jurisdiction provisions in Section 15.1.
17. Changes to These Terms
17.1 Right to Modify
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you through one or more of the following methods:
- Email notification to your registered email address
- Prominent notice on our website and platform
- In-app notification when you next log in
- Update to the "Last Updated" date at the top of this page
17.2 Notification Timeline
Material Changes: We will provide at least 30 days' notice before material changes take effect.
Minor Changes: Non-material changes (such as clarifications or formatting) may take effect immediately upon posting.
Legal Requirements: Changes required by law may take effect immediately without advance notice.
17.3 Acceptance of Changes
Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must:
- Stop using the Services
- Cancel your subscription before the effective date
- Export your data before termination
17.4 Version History
We maintain a version history of these Terms. You can view previous versions at:
